End-User License Agreement
1. About this agreement
This End-User License Agreement (the “Agreement”) governs use of Mercury 28 Books (the “App”), a private bookkeeping integration operated by Mercury 28 LLC, a Texas limited liability company (“Mercury 28,” “we,” “us”). The App connects Mercury 28’s own QuickBooks Online company to Mercury 28’s internal systems so that purchases, sales and expenses can be recorded accurately. By connecting a QuickBooks company to the App, or otherwise using it, you agree to this Agreement.
2. Who may use the App
The App is for internal use by Mercury 28 and the people Mercury 28 authorizes. It is not offered to the public or to other businesses, and no one else may connect a QuickBooks company to it.
3. License
Mercury 28 grants each authorized user a limited, non-exclusive, non-transferable, revocable license to use the App for Mercury 28’s internal bookkeeping. You may not copy, resell, sublicense or reverse engineer the App, and you may not use it to access anyone else’s data.
4. QuickBooks and Intuit
The App uses the QuickBooks Online API. Your use of QuickBooks is governed by your agreement with Intuit Inc. QuickBooks and Intuit are registered trademarks of Intuit Inc. The App is not sponsored by, endorsed by or affiliated with Intuit.
5. Your data and your books
The App accesses accounting data in the connected QuickBooks company only for the purposes described in our Privacy Policy. You remain responsible for the accuracy of your books and for reviewing the entries the App creates.
6. Disconnecting and termination
You may disconnect the App at any time; see How to disconnect. Mercury 28 may suspend or end access to the App at any time. When the App is disconnected, we revoke and delete the sign-in tokens it holds.
7. No warranty
The App is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement. Records the App creates should be reviewed by a qualified professional before you rely on them for tax, legal or financial reporting.
8. Limitation of liability
To the fullest extent permitted by law, Mercury 28 is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or lost data, arising out of or related to the App. Mercury 28’s total liability for any claim relating to the App is limited to the amount paid for the App, which is zero.
9. Changes
We may update this Agreement. The effective date above shows when it last changed, and continued use of the App after a change means you accept the updated Agreement.
10. Governing law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Dallas County, Texas.
